1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the VantageIQ Faith platform, including the website, web application, and any related mobile applications (collectively, the "Service"), provided by VantageIQ Technologies, LLC ("VantageIQ," "we," "us," or "our"). VantageIQ Technologies, LLC also offers VantageIQ Guardian, which is governed by its own terms of service; these Terms apply only to VantageIQ Faith.

By subscribing to a plan, creating an account, or using the Service, you ("Customer," "you," or "your") agree to these Terms on behalf of yourself and, if applicable, the church, ministry, or organization you represent. If you do not agree, you may not use the Service.

2. The Service

VantageIQ Faith is a software platform that helps churches and faith-based organizations manage safety assessments, training, drills, scheduling, personnel records, background check tracking, child and guest check-in, incident reporting, and related ministry-safety functions.

VantageIQ Faith is a software tool that supports your organization's safety program. It is not a security company, a background-check provider, an emergency response service, or a substitute for professional security, legal, or medical advice. For any life-threatening emergency, call 911 or your local emergency services immediately.

3. Accounts and Eligibility

You must be at least 18 years old and have authority to bind your organization to use the Service. Each user must be a real individual authorized by your organization. You are responsible for keeping login credentials confidential and for all activity under accounts linked to your organization. Notify us promptly of any unauthorized use.

4. Subscription Plans

We offer the following monthly plans, each with a maximum number of campus locations and user accounts ("seats"):

• Single Church — 1 campus and up to 10 user accounts. • Two Church — up to 2 campuses and 25 user accounts. • Three Campus — up to 3 campuses and 40 user accounts. • Enterprise — 4+ campuses and custom user counts, by agreement with our team.

A "campus" is a distinct physical site or ministry location you configure in the Service. You are responsible for staying within your plan's limits. Exceeding them may result in suspension until you upgrade or reduce usage.

5. Billing and Payment

• Paid plans are billed monthly in advance, in U.S. dollars, through our third-party payment processor (Base44 Payments, powered by Wix). We do not store full payment card numbers. • By subscribing, you authorize recurring monthly charges for your selected plan until you cancel. • Fees exclude applicable taxes, which you are responsible for unless we are required by law to collect them. • We may change pricing with at least 30 days' notice before the change applies to your next billing cycle.

Beta accounts may use the Service at no charge for a limited period, as described in our Beta Program Terms. We will give at least 30 days' notice before beta access ends.

6. Renewal, Cancellation, and Refunds

Subscriptions renew automatically each month until canceled. You may cancel at any time from Account & Billing or by contacting support. Cancellation takes effect at the end of the current paid billing period. We do not provide refunds for partial billing periods except as described in our Refund & Cancellation Policy or where required by law.

7. Acceptable Use

Your use of the Service must follow our Acceptable Use Policy. In summary, you agree not to: (a) use the Service for any unlawful purpose; (b) upload content that infringes another's rights or that you lack authorization to upload, including background check information on individuals who have not been properly notified and consented as required by law; (c) access or attempt to access another organization's data; (d) reverse-engineer, scrape, disrupt, or gain unauthorized access to the Service; (e) upload malicious code; or (f) resell, share, or white-label the Service outside your organization without our written consent.

8. Customer Data

"Customer Data" means the information you and your users submit to the Service, including personnel records, background check statuses, assessment results, incident reports, and child and guest check-in records. You retain ownership of Customer Data and grant us a limited license to host, process, and display it solely to provide the Service to you.

You represent that you have the rights and consents needed to submit Customer Data, including any consents required to collect and process information about volunteers, staff, children, and guests. Our handling of Customer Data is described in our Privacy Policy and Data Processing Addendum. We do not sell Customer Data.

9. Third-Party and Licensed Content

The Service includes content owned by third parties, including Scripture quotations from the ESV® Bible (The Holy Bible, English Standard Version®), © 2001 by Crossway, a publishing ministry of Good News Publishers. Used by permission. All rights reserved. Links to the full ESV text go to esv.org and are subject to Crossway's terms. Third-party content remains the property of its owners, and you may not extract or redistribute it outside the Service except as its owner allows.

10. Intellectual Property

VantageIQ Technologies, LLC and its licensors retain all right, title, and interest in the Service, including its software, design, the "VantageIQ Faith" name and logo, documentation, and the Volunteer Bible governance manual (excluding Customer Data and third-party content). We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription term.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free.

The Service supports — but does not replace — your organization's own judgment, trained personnel, and emergency procedures. VantageIQ Technologies does not guarantee the prevention of any incident or harm, and use of the Service is not professional security, legal, or medical advice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANTAGEIQ TECHNOLOGIES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

This limitation applies even if a limited remedy fails of its essential purpose, and reflects that the Service is a supporting tool, not a guarantee of safety outcomes.

13. Indemnification

You agree to indemnify and hold VantageIQ Technologies, LLC and its members, managers, officers, employees, and agents harmless from claims, damages, and expenses arising out of your Customer Data, your use of the Service beyond your plan limits, your violation of these Terms, or your violation of applicable law, including laws governing background checks, minors' data, volunteer screening, and use of force.

14. Suspension and Termination

Either party may terminate for convenience with 30 days' written notice. We may suspend or terminate access for non-payment, for use beyond plan limits, or for a material breach that remains uncured 15 days after notice, and immediately where needed to prevent harm or comply with law. On termination for cause, no refund is owed.

When your subscription ends, your access ends and your Customer Data remains available for export for 30 days, after which it is deleted as described in our Privacy Policy.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state courts located in Kent County (Dover), Delaware, or the United States District Court for the District of Delaware, and both parties consent to that jurisdiction and venue.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance. The effective date at the top of this page reflects the latest revision.

17. General Provisions

• Related policies. The Acceptable Use Policy, Privacy Policy, Cookie Policy, Data Processing Addendum, AI Features Terms, Beta Program Terms, Refund & Cancellation Policy, and Support & Service Level Policy are part of these Terms. • Notices. We send notices to the account administrator's email on file. You send notices to support@vantageiqtechnologies.com. Notices are effective when sent. • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet or utility outages, or failures of third-party hosting providers. • Assignment. You may not assign these Terms without our written consent. We may assign them in a merger, acquisition, or sale of assets, with notice to you. • Severability. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains in effect. • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later. • Independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship. • Entire agreement. These Terms, the related policies, and any signed order form are the entire agreement between the parties on this subject. If an order form conflicts with these Terms, the order form controls.
